Job Description

++ The position is hybrid from one of our hubs in Karlsruhe, Munich, Frankfurt, or Berlin and includes three days of presence and two days of remote work per week**++**

In this role, you will actively shape the legal and regulatory structures of a dynamic corporate group and contribute your expertise in corporate, capital markets, and contract law. You will work closely with management, committees, and specialist departments, take responsibility for central governance, compliance, and transaction issues, and be directly involved in strategically relevant company developments.

Areas of Law:

  • Corporate, capital markets, and contract law
  • Basic understanding of compliance requirements, especially in financial markets
  • Basic knowledge of tax, balance sheet, antitrust, and competition law

Your Tasks:

  • Committee support through formal preparation of meetings and follow-up of committee minutes. Setup and maintenance of a committee database. Coordination of inquiries from shareholders and committee members.
  • Responsible support of the internal corporate filing system with legally relevant documents and the contract database.
  • Preparation and follow-up of processes and documentation relevant to the Group Legal/Compliance function. This includes, among others, the new product process and the contract release process.
  • Support of the responsible Finance unit in the preparation of (group) financial statements. Supportive supervision and coordination of external audits, for example in the context of due diligence or by annual auditors and supervisory authorities.
  • Support of structural measures within the corporate group. This includes, in particular, advice on the conclusion of articles of association, business regulations, and group contractual relationships. Processing of registration matters.
  • Support of M&A transactions.
  • (Provisionally) Maintenance of group-wide insurance contracts (including D&O).

Qualifications

  • Fully qualified lawyer with at least one state examination with honors and at least 3 years of relevant practical experience in the above-mentioned legal areas and fields of activity. Business fluent English skills.
  • Interest in financial market regulation, compliance, and legal risk management.
  • Enjoyment in building and implementing structures. Ability to stay on course in a very dynamic environment through resilience and robustness, and to win over colleagues for the development and implementation of structures.
  • Enjoy working in a small, highly qualified team of lawyers with different specializations. Ability to communicate legal issues to a non-legal audience. Strong interest in the economic and strategic issues of the corporate group.
