About the Role
This role focuses on the legal implementation and development of Flix's group-wide corporate governance, with a secondary focus on the legal aspects of corporate financing activities.
Responsibilities:
- Corporate governance topics (rules of procedure, signature regulations, powers of attorney, approval frameworks)
- Cap table management and equity governance, coordinating with Finance, Tax, and People departments.
- Shareholder and committee work coordination (convening, implementation, minutes, written resolutions) and management of director changes.
- Drafting, reviewing, and negotiating complex loan and credit agreements (e.g., RCF, term loans, syndicated loans).
- Supervising the financing lifecycle (amendments, refinancings, extensions, reporting) and coordinating reorganization and M&A consequences.
About You:
- Fully German-qualified lawyer.
- 8+ years of professional experience in corporate law, ideally with financing law exposure, in an international corporate or law firm setting.
- Proven experience in negotiating and/or drafting shareholder agreements.
- Willingness to develop expertise in guarantees, security documents, and intercreditor structures.
- Business fluent in German and English.
- Strong analytical, communication, and negotiation skills, with the ability to manage multiple workstreams.
- Hands-on mentality, self-motivated, with a strong sense for governance risks and solutions.
