Group Legal Counsel / Unternehmensjurist (m/w/d)

Key Responsibilities:

Corporate & Governance:

• Legal support for the holding company and all subsidiaries
• Development and maintenance of Group Legal Governance
• Creation of policies (Contracts, Compliance, Claims, IP, etc.)
• Support with shareholder, advisory board, and management matters

M&A:

• Legal support for acquisitions (buy-side)
• Coordination of external law firms
• Support with due diligence (legal, commercial, IP, compliance)
• Review and negotiation of SPAs, SHAs, ancillary agreements
• Post-merger integration
• Harmonization of contracts
• Structuring of intercompany relationships
• Legal integration roadmap

Commercial & Operations:

• Review, drafting, and negotiation of various commercial contracts, including customer and supplier agreements, distribution and dealer agreements, service, rental, leasing, and license agreements
• Support with internationalization (EU, UK, USA, APAC)
• Sparring partner for sales, operations, and product management

Compliance & Risk:

• Establishment of a pragmatic compliance framework
• Code of Conduct
• Export controls / sanctions
• Competition and antitrust law
• Management of insurance and liability issues
• Claims and dispute resolution management (incl. coordination of external lawyers)

Labor Law:

• Legal support for group-level HR topics (employment and managing director contracts)
• Support for restructuring measures
• HR aspects within M&A transactions and post-merger integrations

Your Profile:

• Fully qualified lawyer (1st & 2nd state examinations) or comparable international qualification
• 5-10 years of relevant professional experience, partly in-house (industry, medium-sized businesses, PE portfolio) or at a law firm with a strong corporate/M&A focus
• Sound knowledge in corporate law, contract law, M&A processes preferred
• Fluent German and English, both written and spoken
• Entrepreneurial mindset, pragmatic, solution-oriented way of thinking
• Ability to structure and prioritize complexity
• Confident in dealing with management and advisors
• Hands-on mentality ("doing instead of managing")
